
A client recently approached us to represent them in a property transaction. They shared the Heads of Terms (HoTs) with us to assist us in preparing a scope of works. Whilst we considered the HoTs we discovered that there were a number of terms that the client was on the cusp of agreeing but they did not in fact fully understand the implications.
Considering the implications of the HoTs in practical and legal terms aides clients to make considered decisions, which ultimately impacts their ability to react to external economic factors, such as the length of the lease and opportunities to terminate it, the frequency and mechanisms for rent review and incentives such as rent free periods to cover completion of any fit-out works.
HoTs set out the key commercial terms of a property transaction before formal legal documents are drafted. While they are often stated to be subject to contract and not legally binding, they play a crucial role in shaping negotiations and avoiding disputes down the line.
